Optimizor is a digital marketing platform that connects businesses ("Clients") with digital marketing services delivered through the platform. Optimizor operates as a technology platform and manages the end-to-end delivery of services including content creation, campaign management, SEO, and community management.

Optimizor is operated by Digie Marketing Services, a company incorporated under the laws of India.

You must be at least 18 years of age and capable of entering into a legally binding contract to use Optimizor. By registering, you represent that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials. Optimizor is not liable for any loss or damage arising from unauthorised access to your account.

Payments are processed securely through Razorpay. By making a payment, you authorise Optimizor to charge the applicable amount to your selected payment method. All amounts are in Indian Rupees (INR) unless otherwise stated.

Subscriptions renew automatically at the end of each billing cycle unless cancelled at least 48 hours before the renewal date. Cancellation stops future charges but does not entitle you to a refund for the current billing period.

Optimizor reserves the right to modify service pricing at any time. Price changes will be communicated at least 14 days in advance and will apply to the next billing cycle.

Upon successful payment, Optimizor will assign a qualified specialist to your service within the timelines specified on the service page. Delivery timelines are estimates and may vary based on scope, client responsiveness, and operational factors.

Clients are responsible for providing timely approvals, brand materials, and access to connected accounts. Delays caused by the Client's failure to respond or provide required inputs will not entitle the Client to service extensions or refunds.

Optimizor delivers all content subject to Client approval before publishing. Content that remains unreviewed for more than 7 calendar days may be published at Optimizor's discretion to maintain service continuity.

Payout calculations are based on the revenue split structure defined in your contributor agreement. Optimizor is the final authority on payout calculations and decisions. No payout obligation arises until Optimizor has confirmed the delivery of work and received cleared client funds.

Payouts are processed within 30 working days of the payout period closing. Optimizor reserves the right to modify payout timelines with reasonable notice. Agents and managers are solely responsible for maintaining accurate bank account details on the platform. Optimizor is not liable for failed or delayed payouts resulting from incorrect banking information.

By participating as an agent or manager on the platform, you acknowledge that the payout structure may be revised from time to time and that continued participation constitutes acceptance of revised terms.

Content created by Optimizor's platform for a Client's brand — including social media posts, graphics, copy, and campaign assets — becomes the property of the Client upon full payment and delivery. Optimizor retains the right to use anonymised examples of work in its portfolio and marketing materials unless explicitly objected to in writing.

The Optimizor platform, including its software, design, trademarks, and proprietary methodologies, remains the exclusive intellectual property of Digie Marketing Services. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

You agree not to use the Optimizor platform to publish content that is defamatory, obscene, fraudulent, or in violation of any applicable law. You must not use the platform to spam, harass, or impersonate any person or entity.

You are responsible for ensuring that any content you request or approve complies with applicable advertising standards, platform guidelines (Meta, Google, LinkedIn, etc.), and Indian law. Optimizor is not liable for penalties, account suspensions, or other consequences arising from content that violates third-party platform policies.

Optimizor's total liability to you for any claim arising out of or in connection with these terms or the platform shall not exceed the amount paid by you in the 3 months immediately preceding the claim.

Optimizor shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of revenue, loss of data, loss of goodwill, or service interruption, even if Optimizor has been advised of the possibility of such damages.

Optimizor does not guarantee specific results from marketing services. Digital marketing outcomes are subject to market conditions, platform algorithm changes, and business-specific factors beyond Optimizor's control.

Either party may terminate a service subscription at any time. Termination by the Client does not entitle the Client to any refund for the current or any prior billing period.

Optimizor reserves the right to suspend or permanently terminate any account that violates these terms, engages in fraudulent activity, or causes harm to other users or the platform, without prior notice and without liability.

These terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date of written notice of the dispute.
